4.Intellectual Property Rights

Any work produced by PearlThoughts for our clients, including code, designs, and documentation, is exclusively owned by the client. PearlThoughts retains no ownership rights to the work once it has been delivered to the client.

5.Payment Terms

• Milestones and Deliverables:

   Our work is structured around milestones or weekly deliverables. We will set up a contract, deliver the work, and request payment by raising an invoice.

• Payment Period:

   Payments are expected to be settled within two weeks from the date the invoice is sent.

• Revisions and Refunds:

   We deliver work iteratively, ask clients to verify, and offer unlimited revisions within the agreed-upon scope. If clients are not satisfied with our work, we are open to discussing refunds. Refund terms will be specified in the project-specific contract.

6.Confidentiality and Non-Disclosure

• NDA:

   We use a Non-Disclosure Agreement (NDA) based on the client’s request.

• Confidential Information:

   Client-specific intellectual ideas, practices, client data, and business practices are considered confidential and will not be disclosed by PearlThoughts.

• Employee Interaction:

   Clients are not permitted to directly contact our employees for project discussions or to request them to work directly for them.

7.Disclaimers and Limitations of Liability

• No Warranties:

   PearlThoughts provides services on an “as is” basis and makes no warranties, express or implied, regarding the services provided.

• Limitation of Liability:

   PearlThoughts is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

• Security and Compliance:

   While we implement client requirements and deploy solutions to public cloud environments (e.g., AWS, Azure, GCP), we are not responsible for security breaches or damages resulting from poorly protected cloud services or other external factors.

8.Dispute Resolution

• Negotiation and Mediation:

   We prefer to resolve disputes through negotiation and mediation.

• Governing Law and Jurisdiction:

   These Terms of Use are governed by the laws of India, under the jurisdiction of Tamil Nadu/Pondicherry, and fall under the Madras High Court.
